refusetofade ("we," "us," or "our") owns and operates robertallenbrown.com and other sites linking to these Terms of Use (individually, the "Site", and collectively, the "Sites"). Through the Sites, refusetofade provides various offerings, information, and resources related to the products and services available on our Sites (each a "Service" and collectively, the "Services"). References to the Sites include the Services.

refusetofade may change, suspend, modify, or discontinue all or any part of the Sites in its sole discretion with or without notice. refusetofade is not liable if all or any part of a Site is, for any reason, unavailable at any time or for any period. refusetofade reserves the right to block or deny access to any of the Sites to anyone at any time for any reason. refusetofade is not obligated to correct or update any information or content on the Sites.

These terms of use (together with any additional terms, as described below) ("Terms of Use") are an agreement between refusetofade and the individuals that use the Sites ("users," "you," or "your"). The Sites may include content provided by third parties. refusetofade is not responsible for the content of any materials provided by third parties and does not warrant the accuracy, completeness, or reliability of any such information. Information provided by refusetofade on the Sites is for informational and research-educational purposes only and does not constitute medical, legal, or professional advice.

Content Standards

You agree that you will not post any User Content that (a) infringes on or violates any intellectual property rights, (b) fails to comply with applicable laws and regulations, or (c) contains any expressions of hate, abuse, offensive images or conduct, or any similar content. NO INFORMATION OR ADVICE OBTAINED FROM refusetofade OR THROUGH THE SITES SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS OF USE.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL refusetofade, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH: (A) YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SITES OR ANY PRODUCTS; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SITES; (C) ANY CONTENT OBTAINED FROM THE SITES; OR (D) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF refusetofade HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL refusetofade'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OF USE OR YOUR USE OF THE SITES EXCEED THE GREATER OF (A) THE TOTAL AMOUNT PAID BY YOU TO refusetofade IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR LIABILITY. IN SUCH JURISDICTIONS, THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU TO THE EXTENT PROHIBITED BY LAW.

Indemnification

You agree to defend, indemnify, and hold harmless refusetofade and its officers, directors, employees, agents, licensors, service providers, successors, and assigns from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms of Use;
  • Your use or misuse of any product purchased from refusetofade, including any use for human or veterinary consumption, self-administration, or administration to any other person or animal;
  • Your violation of any applicable law, regulation, or third-party right in connection with your purchase or use of any product;
  • Any claim by a third party arising from your use or misuse of any product;
  • Any false representation made by you in connection with your purchase, including any misrepresentation regarding your status as a qualified researcher or your intended use of the product; or
  • Any personal injury, death, property damage, or other harm resulting directly or indirectly from your use or misuse of any product.

This indemnification obligation will survive the termination of these Terms of Use and your use of the Sites.

Dispute Resolution and Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

Any dispute, controversy, or claim arising out of or relating to these Terms of Use, the Sites, or any product purchased from refusetofade, including any question regarding the existence, validity, or termination of these Terms of Use, shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court, except that either party may bring individual claims in small claims court if the claims qualify.

CLASS ACTION WAIVER. YOU AND refusetofade AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.

The arbitration shall be conducted in the State of California. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Governing Law and Jurisdiction

You agree that all matters relating to the Sites and these Terms of Use and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the internal laws of the State of California without giving effect to any choice or conflict of law provision or rule (whether of the State of California or any other jurisdiction).
